1.⁠ ⁠Definitions

Company: Infravolt Holland B.V., trading as InfraTrade Holland, registered in Amsterdam, The Netherlands.

Customer: Any individual consumer (B2C) or business client (B2B) purchasing Goods from the Company.

Goods: All products offered by the Company, including new (A-Grade) items and used/returned/refurbished (B-Grade) items.

Website: The Company’s online shop and all related digital sales channels.

Contract: Any agreement for the sale of Goods between the Company and the Customer.

 

2.⁠ ⁠Scope of Application

2.1 These Terms apply to all sales, offers, quotations, and deliveries by the Company.

2.2 By placing an order, the Customer accepts these Terms in full.

2.3 Any general terms from the Customer are rejected unless formally accepted in writing by the Company.


3.⁠ ⁠Product Condition & Grading

3.1 The Company sells Goods in various conditions:

  • A-Grade: New, unused, sealed, or open-box items in near-new condition.
  • B-Grade / Used / Returned Goods: Customer returns, refurbished items, open-box products, or products showing signs of use.

3.2 The condition and grading of each product are stated to the best of the Company’s knowledge.

3.3 B-Grade or used Goods may include missing accessories, cosmetic wear, repackaged units, damaged boxes, or minor functional deviations.

3.4 These characteristics cannot be considered defects and do not qualify for complaints or return claims.


4. Offers, Pricing & Quotations

4.1 Prices are displayed in EUR (€).

  • For B2B customers: prices are exclusive of VAT.
  • For B2C customers: prices are inclusive of VAT, unless stated otherwise.

4.2 Prices, stock availability, and offers may change without notice.

4.3 Quotations provided to B2B clients are only valid during the specified period.

4.4 The Company reserves the right to refuse orders or limit quantities.


5. Orders & Contract Formation

5.1 A Contract is concluded when the Company confirms an order in writing or dispatches the Goods.

5.2 The Company may require full or partial prepayment, identity verification, or additional information.

5.3 The Customer must ensure accurate delivery and billing details.


6. Payment Terms

6.1 Payment must be made in full before shipment, unless agreed otherwise in writing.

6.2 Accepted payment methods include bank transfer, card payments, and supported online payment platforms.

6.3 For late payments (B2B), statutory Dutch commercial interest and collection costs apply.

 

7.⁠ ⁠Delivery, Shipping & Risk Transfer

7.1 Any delivery times are estimates and not guaranteed.

7.2 Risk of loss or damage transfers:

  • B2B: once the Goods are handed to the carrier (Incoterms apply).
  • B2C: when the consumer physically receives the Goods.

7.3 The Customer must inspect Goods immediately upon receipt and report visible damages within 48 hours.

7.4 Failure to report within this period voids damage claims.

 

8.⁠ ⁠Warranty & Returns

8.1 Consumer Customers (B2C)

- B2C customers retain statutory rights under Dutch and EU consumer law. However, these rights may be limited for used/returned goods when condition is clearly disclosed.

8.2 NO WARRANTY & NO REFUND FOR USED / RETURNED / B-GRADE GOODS (B2B & B2C)

All used, returned, open-box, refurbished, and B-Grade Goods are sold strictly:

  • WITHOUT WARRANTY,
  • WITHOUT RIGHT OF RETURN,
  • WITHOUT REFUND,
  • WITHOUT REPLACEMENT,

unless explicitly agreed otherwise in writing by the Company. Purchasing such Goods means accepting their condition “as-is”, including any cosmetic wear, missing accessories, repackaging, visible signs of use, or minor functional deviations. These characteristics are not defects and cannot be used as grounds for any warranty or refund claim.

8.3 Business Customers (B2B)

All B2B sales are final. No warranty or return rights apply to any Goods, unless otherwise confirmed in writing by the Company.

 

9.⁠ ⁠Limitation of Liability

9.1 The Company is not liable for indirect, financial, or consequential damages, including loss of profit, downtime, or business interruption.

9.2 Total liability is limited to the invoice value of the specific Goods involved.

9.3 The Company is not liable for errors in product descriptions or variations caused by suppliers or manufacturers.

 

10.⁠ ⁠Data Protection & Privacy

10.1 The Company processes personal data in accordance with the GDPR and Dutch privacy laws.

10.2 Customer data is used solely for order processing, logistics, customer support, and legal compliance.

10.3 Data may be shared with transport companies, payment providers, and security partners when necessary.

 

11.⁠ ⁠Force Majeure

11.1 The Company is not responsible for delays or non-performance caused by factors beyond its reasonable control, including natural disasters, strikes, supply chain issues, transport disruption, or governmental actions.

 

12.⁠ ⁠Governing Law & Jurisdiction

12.1 These Terms are governed exclusively by Dutch law.

12.2 All disputes shall be submitted to the competent court in Amsterdam, The Netherlands, unless mandatory consumer law dictates otherwise.

 

13.⁠ ⁠Amendments

13.1 The Company may update or amend these Terms at any time.

13.2 Updated versions take effect upon publication on the Website.
